1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FieldShield LLC ("Company," "we," "our," or "us") governing your access to and use of our website, products, and services, including the Field Shield wildlife deterrent system and related software applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

Field Shield provides AI-powered, sound-based wildlife deterrent systems designed to protect agricultural crops from wildlife damage. Our Services include hardware devices, cloud-based software platforms, mobile applications, and related support services. The effectiveness of our products may vary based on environmental conditions, wildlife populations, and proper installation and usage.

3. User Responsibilities

As a user of our Services, you agree to:

• Provide accurate and complete information when creating an account or making purchases
• Maintain the security of your account credentials and notify us immediately of any unauthorized access
• Use the Services only for lawful purposes and in compliance with all applicable laws and regulations
• Follow all installation, operation, and maintenance guidelines provided with our products
• Not modify, reverse engineer, or attempt to derive the source code of any software included in our Services
• Not use the Services in any way that could damage, disable, or impair our systems
• Comply with all local, state, and federal regulations regarding wildlife management and noise ordinances

4. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of FieldShield LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not include any resale or commercial use of the Services or any derivative use of the Services or their contents.

5. Payment Terms

If you purchase products or subscribe to our Services:

• All prices are in United States Dollars unless otherwise specified
• Payment is due at the time of purchase for hardware products
• Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan
• You authorize us to charge your payment method for all fees incurred
• Subscription renewals are automatic unless you cancel before the renewal date
• Refunds are subject to our refund policy and warranty terms

6. Service Availability

We strive to maintain continuous availability of our Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

Cloud-connected features require an active internet connection and may be affected by network conditions. Hardware devices may have limited functionality when offline.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIELDSHIELD LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

FIELD SHIELD IS A DETERRENT SYSTEM AND DOES NOT GUARANTEE COMPLETE PROTECTION FROM WILDLIFE DAMAGE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless FieldShield LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting our support team. Termination does not entitle you to a refund of any prepaid fees unless otherwise specified in our refund policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in South Carolina, and you consent to the jurisdiction of such courts.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.
